Workspace Access: Customer access to the Workspace will be limited to our normal operating hours, which are posted in our lobby and on our website (www.chathamworks.com).

Customer:

  • Shall have access to the Workspace as outlined above, except during a force majeure event.
  • Acknowledges that we may be closed or operate under limited hours on other Federal Reserve Bank holidays.

Workspace Rules: Customer agrees to abide by the Workspace Rules set forth in Exhibit B, which may be amended from time to time by Chatham Works in its sole discretion. Fees for Workspace access do not include use of any of our Fitness spaces or equipment. Access to our Conference Room is available for an additional fee.

Guests: Open Seating Customers are not permitted to bring guests.

Personal Property: Chatham Works shall make every reasonable effort to preserve and protect the security of Customer’s personal property. However Chatham Works is not responsible for Customer’s personal property, and particularly belongings that are not properly secured. Customer waives all claims regarding personal property.

Customer is required to promptly remove any/all of Customer's personal property. Any property remaining on the Premises may be relocated or disposed of by Chatham Works without recourse by Customer.

Damage to the Premises: Customer is liable for damage to the Premises caused by Customer, and authorizes Chatham Works to charge Customer for repair of any such damage.

Termination & Removal: Chatham Works reserves the right to remove any Customer from our facility for material breach of the terms herein, or for any other reason at management’s discretion.

Indemnification: Customer agrees to indemnify and hold harmless Chatham Works against all losses, damages, liabilities, costs or expenses, including reasonable attorneys’ fees, resulting from all claims, proceedings, investigations or actions arising out of or in connection with Customer’s breach of these terms, or Customer’s negligent or willful acts or omissions. This indemnification obligation shall survive the expiration or termination of any agreement between Customer and Chatham Works.

Limitation of Liability: Chatham Works disclaims all warranties, express or implied, with respect to the Premises and the services. Chatham Works shall not be liable for (i) any special, indirect, incidental, punitive, compensatory or consequential damages of any kind whatsoever; or (b) damages in excess of $100. Without limitation to the foregoing, Customer, on behalf of Customer, and Customer’s personal representatives, successors, heirs, and assigns, hereby voluntarily agree to release, waive, forever discharge and hold harmless Chatham Works, its members and employees from any and all liability and all claims, actions, or losses which may arise from the actions of other members or third parties on the Premises.

Additional Terms: Private Office Members and Monthly Open Seating Members may be bound be additional terms and conditions as described in any applicable License Agreement between the parties.


EXHIBIT A

Internet Access Terms and Conditions

Customer agrees that Member will use Chatham Works’ internet access (“internet”) only for lawful purposes. Customer will not use the internet to:

  1. Engage in any illegal conduct;

  2. Send unsolicited commercial messages;

  3. Transmit any false, inaccurate or misleading information;

  4. Be defamatory, obscene, indecent, threatening or harassing;

  5. Infringe upon any third party’s intellectual property rights;

  6. Access protected data or intercept personal information without authorization.


EXHIBIT B:

Workspace Rules

#1: Customer shall comply with all applicable laws, statutes, ordinances, regulations and rules with respect to Customer’s use of the Premises. Customer shall not use the Premises for any unlawful purpose or conduct any unlawful business venture on the Premises.

#2: Customer shall treat other members, Chatham Works employees, and Chatham Works customers with respect and shall not engage in any harassing, defamatory, obscene, indecent or threatening conduct.

#3: No animals of any kind shall be allowed on the Premises without Chatham Works’ written authorization.
